2. Service Description

Tralogit is a cloud-based, AI-powered fleet management Software-as-a-Service (SaaS) platform built for road transport carriers. The platform includes:

• Real-time GPS tracking and interactive fleet map via the Tralogit OBD device
• AI-powered automatic trip form completion from uploaded documents
• Driver management, safety scoring, and DVIR inspection reporting
• Financial management: expense tracking, automatic invoicing, and profitability dashboards
• Predictive maintenance alerts and work order management
• Parts and inventory management with automatic deduction on work orders
• Compliance tracking: license, certification, and regulatory deadline monitoring
• Natural language AI assistant for instant fleet queries
• Driver mobile application for trip updates, inspections, and communication
• Dashcam integration with live video and behavioral event detection (Safety AI plan)
• Role-based access control and team collaboration tools
• Comprehensive reporting suite: DVIR, financial, compliance, and performance reports

Features available depend on the subscription plan selected. Tralogit reserves the right to modify, add, or remove features with reasonable notice to active subscribers.

3. Account Registration & Security

• You must provide accurate, complete, and current registration information. You are responsible for keeping this information up to date.
• You are responsible for all activity that occurs under your account, including actions by invited users (fleet managers, dispatchers, drivers).
• You must maintain the confidentiality of your account credentials and notify us immediately at info@tralogit.com if you suspect unauthorized access.
• One account represents one company. You may not share account access between multiple unaffiliated organizations.
• Accounts must be held by individuals aged 18 or over, or by legally incorporated business entities.

4. Subscription Plans & Pricing

Tralogit offers three subscription tiers, billed monthly per active vehicle on your account:

Pricing is in US dollars (USD) unless otherwise specified at checkout. A vehicle is counted as active if it has had the Tralogit OBD device connected or has had trips recorded within the billing period. You may add or remove vehicles at any time; changes to active vehicle count are reflected in the next billing cycle.

5. Free Trial

Tralogit offers a 30-day free trial with full access to all features of the plan you select. No credit card is required to start a trial.

• The trial period begins when your account is created
• At the end of the trial, your account will be paused unless you enter billing information and activate a paid subscription
• Data created during the trial is preserved for 30 days after trial expiry, allowing you to activate a subscription and continue without data loss
• Tralogit reserves the right to modify or discontinue the free trial offer at any time
• Abuse of the trial program (creating multiple accounts to extend trial access) will result in account termination

6. Billing & Payment

Subscriptions are billed monthly in advance. Tralogit uses Stripe, Inc. as its secure payment processor. By subscribing, you authorize Tralogit to charge your payment method on a recurring monthly basis.

• Billing occurs on the same calendar date each month (your subscription start date)
• You are responsible for keeping your payment information current. Failed payments will result in service suspension after a grace period of 7 days
• All prices are exclusive of applicable taxes. Taxes may be added based on your billing address and local regulations
• Tralogit may adjust pricing with 30 days' written notice. You may cancel before the price change takes effect without penalty
• You can upgrade or downgrade your plan at any time through the self-serve billing portal. Upgrades are effective immediately (prorated); downgrades take effect at the next billing cycle

7. Cancellation & Refunds

You may cancel your subscription at any time through the self-serve billing portal. There is no cancellation fee and no minimum commitment.

• Cancellation takes effect at the end of the current billing period. You retain full access until that date
• Tralogit does not provide prorated refunds for unused days in the current billing period, except where required by applicable consumer protection law
• After cancellation, your data is retained for 90 days. You may request a data export during this period by contacting info@tralogit.com
• Accounts suspended for non-payment and not reactivated within 30 days of suspension will be terminated

8. Tralogit OBD Device

The Tralogit OBD telematics device is proprietary hardware that connects to a vehicle's OBD-II diagnostic port. The following terms apply:

Installation & Use

• The OBD device is designed for self-installation without specialized tools. You install it at your own risk; Tralogit is not responsible for improper installation
• The device is compatible with vehicles fitted with a standard OBD-II port, and with heavy vehicles and equipment exposing SAE J1939 over a Deutsch 9-pin or 6-pin connector. Compatibility is confirmed with you before deployment
• Do not use the device in vehicles where OBD port access is restricted by the vehicle manufacturer's warranty terms
• Data transmission requires a cellular data connection; the device includes connectivity. You are not responsible for cellular data costs

Ownership & Loss

• The OBD device remains the property of Tralogit unless you have purchased it outright
• You are responsible for safeguarding the device from loss, theft, or damage. Report loss or damage promptly to info@tralogit.com
• Replacement devices will be charged at the then-current replacement fee
• Do not attempt to open, reverse-engineer, or modify the device hardware or firmware

9. Acceptable Use Policy

You agree not to:

• Use the platform for any unlawful purpose or in violation of applicable transportation regulations
• Attempt to gain unauthorized access to any part of the system or another customer's data
• Resell, sublicense, or white-label Tralogit without a written reseller agreement
• Use automated scripts or bots to access the platform except through our official API
• Interfere with or disrupt the platform's infrastructure, servers, or networks
• Upload malicious code, viruses, or harmful content
• Use the platform to track individuals without their knowledge in violation of applicable privacy law
• Share login credentials with individuals outside your organization

Violation of this policy may result in immediate account suspension or termination without refund.

10. Intellectual Property

The Tralogit platform, including its software, AI models, OBD device hardware and firmware, brand assets, and all associated documentation, is owned exclusively by Tralogit Inc. and protected by Canadian and international intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business operations. No ownership rights are transferred.

11. Data Ownership & Privacy

You retain full ownership of all data you input into the Tralogit platform, including trip records, financial data, driver information, and uploaded documents. Tralogit does not claim any ownership over your business data.

By using the platform, you grant Tralogit a limited license to process, store, and use your data solely to provide and improve the services described in these Terms and in our Privacy Policy. Our data practices are governed by our Privacy Policy, which forms part of this agreement.

12. Service Availability

Tralogit targets 99.5% monthly uptime for the web platform, excluding scheduled maintenance windows. We will provide advance notice of planned maintenance when possible.

Tralogit is not responsible for platform unavailability resulting from: customer's internet connectivity, third-party service failures (e.g., cellular networks for OBD data transmission), force majeure events, or actions taken by the customer that compromise service performance.

13. Limitation of Liability

THE TRALOGIT PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRALOGIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

In no event shall Tralogit be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption. Tralogit's total aggregate liability to you for any claim arising out of or relating to these Terms shall not exceed the amount you paid to Tralogit in the 12 months preceding the claim.

The AI assistant and predictive maintenance features provide recommendations based on data analysis. These recommendations do not replace qualified professional judgment. Tralogit is not liable for operational decisions made based on AI-generated outputs.

14. Termination

Either party may terminate this agreement at any time. You may terminate by cancelling your subscription through the self-serve billing portal. Tralogit may terminate or suspend your account immediately, without prior notice or refund, if:

• You materially breach these Terms and fail to remedy the breach within 14 days of written notice
• You engage in fraudulent activity, including payment fraud or misuse of the free trial
• You violate the Acceptable Use Policy
• Required to do so by law or regulation

Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (limitation of liability, intellectual property, governing law) will remain in effect.

15. Governing Law & Disputes

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered in Montreal, Quebec, in accordance with the applicable arbitration rules, conducted in the language chosen by the claimant (English or French).

Consumer users in Quebec retain all rights granted by the Consumer Protection Act of Quebec (L.R.Q., chapter P-40.1).

16. Changes to These Terms

Tralogit may update these Terms to reflect changes in our services, legal requirements, or business practices. We will notify active account holders of material changes by email at least 30 days before the new Terms take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.

If you do not agree with updated Terms, you may cancel your subscription before the effective date without penalty.
